Domiciliation is defined as the act by which a company establishes its registered office with a third party (called the domiciliation agent) in order to carry out activities that are consistent with its corporate purpose. This third party must provide services associated with this activity. The registered office represents the place from which the company is administered and managed, and it is not merely an address. It is at this official address that the company receives its correspondence and must keep its essential legal documents, such as accounting records, the articles of association and the shareholders register.

An Inviolable Legal Framework: The Law Ensuring Transparency and Trust
This activity is strictly regulated by Luxembourg law. The main legal basis is the Law of 31 May 1999 on the domiciliation of companies, which defines the conditions and obligations of service providers.
Domiciliation agents must also comply with anti-money laundering and counter-terrorist financing regulations, including the Law of 12 November 2004, and must respect the Law of 10 August 1915 on commercial companies.
Heart of the Service: Financial Structures and Physical Location Requirements
Domiciliation is a suitable solution for structures that mainly manage financial assets or investments and do not require a significant physical operational presence.
Typical clients include holding companies (Soparfi), investment funds (SCSp), special purpose vehicles (SPV) and family wealth management companies (SPF).
On the other hand, it is generally not compatible with commercial, craft or service businesses that require a business permit and must have physical premises (workshop, warehouse or permanent office) consistent with their activity.
